I have just learned a negotiation rule I wish someone had taught me twenty years ago.

Next time you negotiate a pay rise, an SPA indemnity or a sales incentive plan, you may remember me.

Here it is.

Imagine you have one excellent reason to reject a clause.

“The liability is uninsurable and the price does not reflect the exposure.”

Strong.

Then, because lawyers like backup, you add:

“And this clause is not market practice.”

Thank you.

You have just given the other side the only argument it can easily attack.

Researchers tested this across four experiments.

One strong argument worked well.

Add a weak one and the whole case became less persuasive.

Why?

Because people do not always add your reasons.

They average them.

Three good arguments do not automatically rescue one bad one.

The bad one can make the whole position look less serious.

A useful rule:

Never use an argument you would not be happy defending on its own.

At Ambar, a senior on demand technology or commercial contracts lawyer with true expertise in US tech companies can pressure test one critical negotiation before the other side does.

Not to add more comments.

To remove weak positions, sharpen the trade offs and give the GC a case the business can defend in one minute.

More arguments do not always create more authority.

Sometimes authority is knowing what to leave out.

Before you go: how Ambar can help

We help GCs access senior independent legal talent when their teams need more range, more speed or more specialist judgment.

1) Fractional counsel for capacity gaps
When a key lawyer moves role, goes on leave, or gets pulled into a strategic project, we help cover the gap without adding permanent structure.

2) Specialist expertise for new areas
Privacy, AI, technology contracts, payments, cybersecurity, energy, regulatory or new jurisdictions — senior lawyers who bring knowledge into the team, not just hours.

3) The layer between in-house and traditional firms
For work that is too senior for junior execution, too close to the business for a law firm machine, and too temporary for a permanent hire.

4) Legal AI that learns your standard
We help legal teams turn senior judgment into playbooks, model answers, red flags, evals and error-analysis frameworks for the AI tools their teams already use.

Not generic AI. Your legal standard.
